Terms of Service
These terms are an agreement between Klear LLC, doing business as Klearus, of Boca Raton, Florida, USA (“Product Zeta,” “we,” “us”) and the business that uses our services (“you,” the “merchant”). They cover this website (productzeta.com), the Product Zeta application, and the Product Zeta Connect app for Shopify (together, the “services”).
By installing Product Zeta Connect, opening an account, or otherwise using the services, you accept these terms on behalf of your business and confirm you have the authority to do so. If you don’t agree with them, please don’t use the services.
The short version: your store data stays yours, we process it only to run your operations, we never sell it or use it for anything else, and we delete it when you leave. The details are in section 4.
1. The services
Product Zeta is a commerce operations platform. It connects to the sales channels a business uses — Shopify, Amazon, Walmart, Nordstrom, eBay, and others — and brings their products, inventory, orders, returns, fulfillments, customer messages, and advertising data into one place, so the business can run its operations from a single control panel and, where the channel allows it, act on them: syncing inventory, buying shipping labels, writing tracking back to the channel, and handling returns.
Product Zeta Connect is the app that links a Shopify store to Product Zeta. Installing it from the Shopify App Store creates that link; uninstalling it severs the link and triggers the deletion described in section 4.5.
Parts of the services may be offered as a pilot or beta. Those parts may change, pause, or be withdrawn while we develop them.
2. Eligibility and accounts
- The services are for businesses. You must be acting for a business, not as a consumer, and the person accepting these terms must be authorized to bind that business.
- You are responsible for keeping your login credentials confidential and for everything done through your account. Tell us at support@productzeta.com right away if you believe your account has been accessed without authorization.
- You agree to give us accurate business and contact information and to keep it current.
3. Connected sales channels
When you connect a sales channel, you authorize us to access that channel’s data through its official interfaces, within the permissions you grant at connection time, and to act on that channel on your behalf when you use a feature that does so (for example, updating inventory or writing tracking to an order).
Each channel has its own terms, and you are responsible for complying with them. Product Zeta is an independent product; it is not affiliated with, endorsed by, or sponsored by Shopify, Amazon, Walmart, Nordstrom, eBay, or any other channel. Channels change their interfaces and policies from time to time, and a feature that depends on one may change or stop working as a result. We will do our reasonable best to keep up.
4. Your data and how we protect it
This section is our data-protection agreement with you. It applies to all store data the services access on your behalf — products, inventory, orders, returns, fulfillments, customer messages, and advertising data, including any personal information about your customers that this data contains (“store data”).
4.1 Our role
Store data belongs to you. We process it only on your behalf and on your instructions, to run your own commerce operations. Your instructions are these terms, the settings you choose in the services, and the features you use. You remain the controller of your customers’ personal information; we act as your processor (or service provider, in the terms of US state privacy laws).
4.2 Purpose limitation
We use store data to provide, maintain, secure, and support the services for you, and for nothing else. Specifically, store data is never:
- sold, rented, or licensed to anyone;
- shared with third parties for their own purposes;
- used for marketing, advertising, profiling, or analytics about your customers; or
- combined with data from other merchants to build profiles of individuals.
We may use aggregated, de-identified operational metrics (such as how many orders the platform synced in a day) to run and improve the services. Those metrics never identify you, your store, or your customers.
4.3 Sub-processors
We rely on a small number of service providers to operate the services. Each is bound by written terms to process data only to provide its service to us, and each is required to protect that data at least as carefully as we do.
- Amazon Web Services — application hosting, storage, encrypted secrets vault, and backups.
- Anthropic — the AI-assisted listing features described in section 6.
- Easyship — shipping-rate comparison and shipping labels.
Separately, when you use a feature that requires it, store data is sent where you direct it: to the sales channels you connect (under each channel’s own terms) and to the shipping carriers that carry your packages (recipient name, address, and package details). We may also disclose data if the law requires it or to protect our rights, our users, or others.
If we add or replace a sub-processor, we will update this list before the change takes effect. If a change materially affects the protection of your store data, we will also notify you through the services or by email, and you may end the agreement under section 13 if you object.
4.4 Security
Store data is encrypted in transit (TLS) and at rest. Channel access credentials — including Shopify access tokens, which are short-lived by design — are held in an encrypted secrets vault, never in application code or logs. Access to production systems is restricted to the people who need it to operate the services. No system is perfectly secure, but the platform runs the founder’s own multi-brand distribution business every day, and we protect your data the way we protect our own.
If we become aware of a security incident that affects your store data, we will notify you without undue delay and give you the information you need to meet your own obligations.
4.5 Deletion and uninstall
- Shopify. When you uninstall Product Zeta Connect, your store’s access credentials are deleted immediately and the store data we hold is deleted. We honor Shopify’s mandatory privacy webhooks: a shop-redaction request erases all stored data for the store, and customer data requests and customer-redaction requests are honored for any customer data we hold.
- Other channels and accounts. When you disconnect a channel or close your account, we delete the associated store data. You can also ask us to delete specific data at any time.
- Exceptions. We keep only what the law requires us to keep (for example, tax or accounting records), and only for as long as it requires. Backups are deleted on their normal rotation.
4.6 Your responsibilities
You are responsible for having the right to share store data with us — in particular, for giving your customers the privacy notice they are entitled to and for having a lawful basis to process their information. Don’t send us data you aren’t permitted to share. If you receive a request from a customer about their data and need our help to fulfil it, tell us and we will assist.
4.7 Privacy requests and questions
Send privacy and data-protection requests, including deletion requests, to support@productzeta.com. Our Privacy Policy describes our data practices in more detail; if it and this section ever conflict about store data, this section governs.
5. Acceptable use
Use the services only for your own lawful business operations. You agree not to:
- use the services to break the law or the terms of any connected channel;
- upload or transmit malware, or probe, scan, or test the vulnerability of the services without our written permission;
- access the services by any automated means other than the interfaces we provide, or in a way that places an unreasonable load on them;
- reverse engineer, copy, resell, or sublicense the services, or use them to build a competing product; or
- share your account with anyone outside your business.
6. AI-assisted features
Some features use an AI model to help draft or improve product listings, such as titles, descriptions, and attributes. The output is a suggestion: you review it and decide what to publish, and you are responsible for what appears on your listings. Only the product information needed for the task is sent to the AI provider named in section 4.3, and it is processed under the same purpose limitation as all other store data.
7. Fees
Where the services are provided for a fee, the fee, billing period, and payment terms are those agreed in writing between you and Klear LLC or shown in the services when you subscribe. Fees exclude taxes, which you are responsible for where applicable. We will give you reasonable advance notice before a fee changes; continuing to use the services after the change takes effect means you accept it. Where no fee has been agreed, the services are provided free of charge, and we may introduce fees with advance notice.
8. Intellectual property
The services — the software, its design, and everything we provide with it — belong to Klear LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use them for your business while these terms are in force. Your store data belongs to you; you grant us only the rights needed to process it as described in section 4. If you give us feedback about the services, we may use it without obligation to you.
9. Availability and changes to the services
We work to keep the services available and to fix problems quickly, but we don’t promise uninterrupted operation. Maintenance, channel outages, and events outside our control can interrupt them. We may add, change, or remove features as the product develops; if we remove a feature you depend on, we will tell you in advance where we reasonably can.
10. Disclaimers
The services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the services will be error-free, that data from a connected channel is accurate or complete, or that a shipping rate, label, or carrier service obtained through the services will meet your needs.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, however caused. Our total liability arising out of or related to the services, in any twelve-month period, is limited to the fees you paid us for the services in that period, or US$100 if you paid none. These limits don’t apply to a party’s breach of section 4, its indemnity obligations, or anything the law says can’t be limited.
12. Indemnity
You will defend and indemnify Klear LLC against third-party claims, and the resulting costs, arising from your store data, your use of the services in breach of these terms, or your breach of a connected channel’s terms or of applicable law.
13. Term and termination
These terms apply from the moment you first use the services until either of us ends them. You can end them at any time by uninstalling Product Zeta Connect, disconnecting your channels, or asking us to close your account. We can suspend or end your access if you materially breach these terms, if your use creates a security or legal risk, or if we discontinue the services, and we will tell you why where the law allows.
When the terms end, your right to use the services stops, and we delete your store data as described in section 4.5. Sections that by their nature should survive — including 4, 8, 10, 11, 12, 15, and 16 — survive.
14. Changes to these terms
We may update these terms as the services and the law evolve. The current version, with its effective date, is always at productzeta.com/terms. For material changes we will give you notice through the services or by email before they take effect; continuing to use the services after that means you accept the updated terms. If you don’t, you can end them under section 13.
15. Governing law
These terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Any dispute that we can’t resolve informally will be brought in the state or federal courts located in Palm Beach County, Florida, and each party submits to their jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16. General
- These terms, together with the Privacy Policy and any written order or subscription terms, are the entire agreement between us about the services.
- You may not assign these terms without our written consent. We may assign them to a successor of our business, and will tell you if we do.
- If any part of these terms is found unenforceable, the rest remains in force.
- A party’s failure to enforce a term is not a waiver of it.
- Notices to us go to support@productzeta.com; notices to you go to the email address on your account or through the services.
